  • API Documentation: Comprehensive documentation, SDKs, and integration guides.

The Service is provided on a subscription basis. Features, rate limits, and capabilities vary by Subscription Plan. We reserve the right to modify, update, or discontinue features of the Service at any time, with reasonable notice to affected customers.

4. Subscription Plans, Fees, and Payment

4.1 Subscription Plans

We offer various Subscription Plans with different features, API call limits, and pricing. The details of each plan are described on our pricing page. We may also offer a free tier or trial period with limited features. Free tiers and trials are subject to the same Terms, unless otherwise specified.

4.2 Fees and Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. All fees are quoted in United States Dollars (USD) unless otherwise specified. You agree to pay all fees associated with your Subscription Plan. Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such amounts.

4.3 Payment Processing

Payments are processed through our third-party payment processor(s), including but not limited to Stripe, Inc. By providing your payment information, you authorize us and our payment processor(s) to charge your designated payment method for all fees incurred. You represent and warrant that you are authorized to use the payment method you provide. All payment processing is subject to the terms and privacy policies of our payment processor(s).

4.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. We will charge the payment method on file for the renewal. You may cancel your subscription at any time through your Account dashboard or by contacting us at [email protected]. Cancellation will take effect at the end of the current billing period, and you will retain access to the Service until then.

4.5 Price Changes

We reserve the right to change our subscription fees at any time. We will provide at least 30 days' prior written notice of any fee increase via email to the address associated with your Account. The new fees will apply at the start of your next billing cycle following the notice period. If you do not agree to the new fees, you may cancel your subscription before the new fees take effect.

4.6 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, we may suspend or terminate your access to the Service. We will notify you via email of any payment failures and give you a reasonable period to update your payment information before suspending your account.

4.7 Refunds

We offer a 14-day money-back guarantee on all paid subscription plans. For complete details on our refund process, eligibility, and procedures, please refer to our Refund Policy.

6.1 API Access

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the API in accordance with our documentation and the terms of your Subscription Plan.

6.2 Rate Limits

Each Subscription Plan includes specific rate limits and API call quotas. You agree to comply with the rate limits associated with your plan. You retain all rights, title, and interest in the Customer Data you submit to the Service. We will not use your Customer Data for any other purpose without your explicit consent.

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Service without any obligation to you.

8. Data Processing and Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

We warrant that: (a) the Service will perform substantially in accordance with our documentation; (b) we will provide the Service with reasonable care and skill; and (c) we have the right to provide the Service to you.

10.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT THE SERVICE PROVIDES RISK ASSESSMENTS BASED ON AVAILABLE DATA AND ALGORITHMS, AND THAT NO FRAUD DETECTION SYSTEM IS 100% ACCURATE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIGNUPGUARD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICE; (D) ANY CONTENT OBTAINED FROM THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless SignupGuard Intelligence Systems, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) your Customer Data; or (e) any dispute between you and a third party arising out of your use of the Service.

13. Termination

13.1 Termination by You

You may terminate your Account and cancel your subscription at any time through your Account dashboard or by contacting us at [email protected]. Upon cancellation, your subscription will remain active until the end of the current billing period, after which your access to paid features will be terminated. You will not be charged for subsequent billing periods.

13.2 Termination by Us

We may suspend or terminate your Account and access to the Service immediately, without prior notice or liability, if: (a) you breach any provision of these Terms; (b) you fail to pay applicable fees; (c) we are required to do so by law; (d) we reasonably believe your conduct is harmful to other users, third parties, or us; or (e) your Account has been inactive for more than 12 consecutive months.

13.3 Effect of Termination

Sections that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, warranty disclaimers, limitation of liability, indemnification, and dispute resolution.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") informally by contacting us at [email protected]. We will attempt to resolve the Dispute informally within 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SignupGuard Intelligence Systems is established, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of that jurisdiction, and you hereby consent to the personal jurisdiction and venue therein.

14.3 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any Dispute shall be resolved on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and SignupGuard regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of SignupGuard.

15.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without your consent in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets.
